Terms of Service

1. Acceptance of Terms
By signing up for, signing into, or using Sei (the "Service") you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not create an account and do not use the Service. Continued use of the Service after a material change to these Terms constitutes acceptance of the revised Terms.
2. The Service
Sei is a desktop application that summons AI characters into existing video games as second players. Sei is currently distributed for macOS and Windows. Cloud features include the shared character library and (in future releases) hosted AI inference. Features marked as "Free" are operated by you on your own machine with your own model API key; cloud features require a Sei account.
3. Accounts
- You must be at least 13 years old to create a Sei account.
- One account per person. Sharing credentials is prohibited.
- You are responsible for keeping your password secure. Use a unique, strong password and enable any multi-factor authentication that Sei offers.
- You are responsible for all activity that occurs under your account.
- If you sign in with Google, you authorize Sei to receive the profile fields disclosed at sign-in (email, name, avatar).
4. User-Generated Content
Sei lets you create "characters" - combinations of a name, persona description, system prompt, skin image, and portrait image. You retain ownership of the characters you create.
By setting a character's visibility to shared = true (the "Share" toggle inside
the app), you grant Sei a worldwide, royalty-free, non-exclusive license to host, store,
reproduce, distribute, and publicly display that character's content within Sei's Browse tab
and related discovery surfaces, for as long as the character remains shared. You may revoke
this license at any time by un-sharing or deleting the character; cloud copies will be
purged per Section 10.
Your rights warranty. You represent and warrant that you own or have obtained all necessary rights, licenses, consents, and permissions to use and authorize Sei to use any content you upload or share, including any name, image, likeness, persona, trademark, or copyrighted material; and that the content does not violate any third party's intellectual property, privacy, publicity, or other rights.
AI-generated content. Sei may use AI to expand personas, generate text, or produce images. You direct these features by providing prompts and inputs. AI-generated content arising from your prompts is treated as your User-Generated Content for purposes of these Terms, including your representations in this Section 4 and your indemnity in Section 11.5. Sei does not assert ownership over AI-generated content created via your prompts.
5. Do Not Include Personal Information in Shared Content
Characters that you set to shared = true are publicly visible
to every Sei user. Do not include real names, home or work addresses, phone numbers, email
addresses, government identifiers, financial details, or any other personal information
about yourself or any third party in any field of a shared character (name, persona, system
prompt, image filenames, etc.). Local-only characters (the default) never leave your
machine - but the moment you share a character, treat its contents as fully public.
You are solely responsible for the content of characters you share. Sei may remove shared content that violates this clause without notice.
6. Acceptable Use
You agree not to use the Service to:
- Harass, threaten, defame, or impersonate any person.
- Produce or distribute illegal content, including child sexual abuse material (CSAM), which Sei will report to the appropriate authorities. Sei scans user-uploaded portrait images via SightEngine for CSAM and other prohibited imagery, and scans persona text via OpenAI Moderation for harmful content categories (sexual content involving minors, graphic violence, threats, self-harm). Both scans run automatically when a user toggles a character to public sharing; failed scans block publication and the user is shown a friendly error.
- Circumvent rate limits, scrape the shared character library at scale, or interfere with the Service's operation.
- Use the Service in violation of any applicable law or third-party game publisher's terms.
7. DMCA Notices
Sei respects intellectual property rights. If you believe content shared through Sei infringes your copyright, you may file a DMCA notice with our designated agent registered with the US Copyright Office.

A valid DMCA notice must include the elements required by 17 U.S.C. § 512(c)(3): identification of the copyrighted work, identification of the infringing material and its location on Sei, your contact information, a statement of good-faith belief the use is unauthorized, a statement under penalty of perjury that the information is accurate and you are authorized to act on behalf of the copyright owner, and your physical or electronic signature.
We will respond to valid notices by removing or disabling access to the allegedly infringing material and notifying the user who shared it. Repeat infringers will have their accounts terminated.
Counter-Notification — DMCA Section 512(g)
If you believe content you shared was removed or disabled by mistake or misidentification, you may submit a counter-notification under 17 U.S.C. § 512(g)(3). A valid counter-notification must include all of the following:
- Identification of the removed or disabled material and its location (URL or other reference) prior to removal.
- A statement under penalty of perjury that you have a good-faith belief the material was removed or disabled as a result of mistake or misidentification.
- Your consent to the jurisdiction of the federal district court for the judicial district in which your address is located, or, if your address is outside the United States, the federal district court for the Western District of Washington, and your agreement to accept service of process from the person who provided the original DMCA notice or that person's agent.
- Your physical or electronic signature.
- Your name, address, and telephone number.
Submit counter-notifications to dmca@sei.gg. Sei will forward the counter-notification to the original complainant. Sei will restore the material within 10 to 14 business days after receipt of a valid counter-notification unless the original complainant files a court action seeking a restraining order against the user.
Warning. Bad-faith counter-notifications — material misrepresentations that material was removed by mistake — are subject to liability under 17 U.S.C. § 512(f).
8. Refunds and Cancellations
All sales are final. Proxied AI inference credits powered by Sei — whether purchased as a one-time credit pack or granted under a monthly subscription — are non-refundable. All purchases are final and we do not offer refunds, credits, or exchanges for unused or partially used balances.
Subscriptions. You may cancel your monthly subscription at any time via the customer portal. Cancellation stops auto-renewal at the end of the current paid billing period; you keep access through the end of that period. We do not pro-rate or refund partial-month cancellations.
Cancel anytime. Cancel your subscription online by opening the Sei app and going to Settings → Cloud AI → Cancel subscription. No call, no email, no questions.
Failed transactions. If your purchase was processed but credits did not appear within 24 hours, please email support@sei.app with your order receipt so we can reconcile your balance manually. Reconciling a transaction that did not deliver credits is not a refund — it simply applies the credits you already paid for.
Subscription Terms
- Price: $20.00 USD per month.
- Billing frequency: Monthly auto-renewal on the same day each month.
- Cancellation: Cancel anytime in the Sei app at Settings → Cloud AI → Cancel subscription.
- Refunds: All sales final; no refunds.
9. Third-Party Game Compatibility
Sei drives second clients in third-party games. You are responsible for complying with the terms of service of any game you use Sei with. Sei is not affiliated with, endorsed by, or sponsored by Mojang, Microsoft, Bethesda, or any other game studio mentioned on this site.
10. Termination and Account Deletion
You may delete your account at any time from the in-app Settings menu. Upon account deletion, Sei will purge your cloud database rows and all associated Storage objects within thirty (30) days, via a scheduled deletion job. Local data on your machine (runtime memory, diaries, conversation history, local-only characters) is not affected by cloud account deletion - you may delete those files yourself from your operating system.
Sei may suspend or terminate your account if you violate these Terms. In that case, the same 30-day deletion timeline applies.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Sei does not warrant that AI-generated content is accurate, appropriate, or free of errors.
11.5 Indemnification
You agree to indemnify, defend, and hold harmless Sei, its officers, employees, and affiliates from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your User Content, including AI-generated content created via your prompts; (b) your use of the Service; (c) your violation of these Terms; or (d) your violation of any third party's intellectual property, privacy, publicity, or other rights.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SEI OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. SEI'S AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU HAVE PAID SEI IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.
13. Governing Law
These Terms are governed by the laws of Washington State, USA, without regard to its conflict-of-laws principles. Any dispute will be resolved exclusively in the state or federal courts located in King County, Washington, and you consent to that jurisdiction.
Nothing in this section limits any non-waivable rights you have under the laws of your state of residence.
14. Changes to These Terms
Sei may revise these Terms from time to time. When the changes are material, Sei will prompt
you to re-accept the updated Terms via a blocking modal inside the app before you can
continue using cloud features (the TOS_VERSION mechanism). The current version
of these Terms is identified by the Effective Date above.
